travel24.com (Neuer Markt WKN 748750) is taking over 73% of all shares of the well-established travel application provider Buchungsmaschine AG on August 18, 2000, plus an additional option for 27% of the shares. Most of the acquisition will be carried out via share deal, which binds the previous shareholders of Buchungsmaschine AG (large shareholders: United Internet AG 25.01%, Dieter Pfennig and Mikko Linnamäki each at 24%) to a lock-up period till April 1, 2001.
The technologically innovative firm Buchungsmaschine AG develops Internet- and intranet-based software solutions for the business-to- business area in tourism and is one of the b2b market leaders in Germany with more than 20 Internet portal partners and more than 14 million page impressions per month. Chairman Jens Henze continues to initiate software solutions such as the first German online price comparison system for flight package-deal tours, called Tourfinder and a special data bank for last minute, charter and carrier flights. This considerably increases travel24.com's opportunities for developing additional potential in the b2b area nationally and internationally.
Through the integration of products, marketing and technology travel24.com AG can expand its offer and service portfolio, both in b2c applications which have been dominant thus far with the leading reservation technology and in the b2b field. travel24.com AG expects that the strengthening of the b2b field as well as the expansion of the cooperation network and the additional synergies in fulfilment, reservations technology and back-office processing will have a significantly positive effect on the business model as planned thus far.
