ADVA Optical Networking (German Neuer Markt: ADV) today announced the signing of a definitive agreement to acquire First Fibre Ltd., a leading privately-held U.K.-based designer and manufacturer of carrier-class fiber access equipment and optical networking systems. First Fibre's solutions for high-speed data applications in telecommunication carrier and enterprise networks expands ADVA's presence to the edge of metropolitan access networks. In addition, First Fibre provides ADVA with in-depth knowledge about protocol transparency, manageability and design solutions such as proprietary jitter management systems. This acquisition underscores ADVA's position as the leading provider of optical networking solutions in the enterprise and metro access markets by adding complementary products to ADVA's portfolio.
Under the terms of the agreement, the acquisition will be made at a total purchase price of approximately EUR 88 million. The purchase price will be paid in shares of common stock in ADVA to be issued in exchange for all outstanding shares of First Fibre. This acquisition is subject to various closing conditions, and is anticipated to close during the third quarter of 2000.
