Aktionäre der Deutsche Post AG beschließen deutlich gestiegene Dividendenausschüttung
- Dividendenausschüttung steigt um 0,5 Milliarden Euro auf 2,2 Milliarden Euro
- Wechsel des Abschlussprüfers beginnend ab dem Geschäftsjahr 2023 beschlossen
Bonn, 6. Mai 2022: Auf der heutigen Hauptversammlung der Deutsche Post AG haben die Anteilseigner mit großen Mehrheiten den Beschlussvorschlägen von Vorstand und Aufsichtsrat zugestimmt. Unter anderem beschlossen die Aktionäre mit 99,80 Prozent der Stimmen die Ausschüttung einer im Vergleich zum Vorjahr um 0,45 Euro erhöhten Dividende von 1,80 Euro pro Aktie. Die Ausschüttungssumme steigt damit auf rund 2,2 Milliarden Euro (2021: 1,7 Milliarden Euro).
Die Bestellung der PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft als Jahres- und Konzernabschlussprüfer für das Geschäftsjahr 2022 wurde ebenfalls mit großer Mehrheit beschlossen. Um der EU-Abschlussprüferverordnung Rechnung zu tragen, wechselt der Konzern seinen Abschlussprüfer mit Wirkung zum 1. Januar 2023: Die Bestellung der Deloitte GmbH Wirtschaftsprüfungsgesellschaft wurde mit großer Zustimmung beschlossen.
Der Entlastung von Vorstand und Aufsichtsrat wurde ebenfalls zugestimmt. Im Rahmen der Aufsichtsratswahlen wurden Prof. Dr. Luise Hölscher, Staatssekretärin im Bundesministerium der Finanzen (95,92 Prozent der Stimmen) und Stefan B. Wintels, Vorsitzender des Vorstands der KfW Bankengruppe (89,93 Prozent der Stimmen) in den Aufsichtsrat der Deutsche Post AG gewählt.
Die Hauptversammlung wurde erneut virtuell ohne physische Präsenz der Aktionäre und ihrer Bevollmächtigten abgehalten und für die Anteilseigner vollständig live im Internet übertragen. Die Aktionäre konnten über das Internet Fragen zur Tagesordnung einreichen, die in der Versammlung beantwortet wurden. Ihr Stimmrecht konnten die Anteilseigner per Briefwahl oder per Vollmacht und Weisungen an die Stimmrechtsvertreter der Gesellschaft ausüben. Im Rahmen der Abstimmung über die Tagesordnungspunkte waren durchschnittlich gültige Stimmen von 826.768.374 Aktien vertreten. Das entspricht 66,73 Prozent des stimmberechtigten Grundkapitals (Vorjahr: 67,48 Prozent).

Shareholders of Deutsche Post AG approve significant increase in dividend payout
- Dividend payout surges by EUR 0.5 billion to EUR 2.2 billion
- Change of auditor resolved starting from financial year 2023
Bonn, May 6, 2022: At today's Annual General Meeting of Deutsche Post AG, shareholders approved the resolutions proposed by the Board of Management and Supervisory Board by large majorities. Among other things, the shareholders approved the distribution of a dividend of EUR 1.80 per share, an increase of EUR 0.45 compared with the previous year, with 99.80 percent of the votes. The total dividend payout will thus rise to around EUR 2.2 billion (2021: EUR 1.7 billion).
The appointment of PricewaterhouseCoopers GmbH Wirtschaftsprüfungsgesellschaft as auditors of the parent-company and consolidated financial statements for financial year 2022 was also approved by a large majority. In compliance with the EU Statutory Audit Regulation, the Group will change its auditors with effect from January 1, 2023: The appointment of Deloitte GmbH Wirtschaftsprüfungsgesellschaft was resolved by a large consent.
The discharge of the Board of Management and Supervisory Board was also approved. In the Supervisory Board elections, Prof. Dr. Luise Hölscher, State Secretary, German Federal Ministry of Finance (95.92 percent of the votes) and Stefan B. Wintels, CEO of KfW Bankengruppe (89.93 percent of the votes) were elected to the Supervisory Board of Deutsche Post AG.
The entire Annual General Meeting was again broadcasted live on the internet without the physical presence of shareholders or their proxies. Shareholders were able to submit questions to the agenda online. The questions were answered during the meeting. The shareholders could exercise their voting rights by postal vote or by issuing power of attorney and instructions to the company's proxies. In the context of voting on the agenda items, the average number of valid votes were represented by 826,768,374 shares. This corresponds to 66.73 percent of the share capital entitled to vote (previous year: 67.48 percent).
