At the 2011 annual general meeting of Symrise AG, which was held in Hannover today, all proposals were approved by a large majority of the shareholders in attendance. The agenda included a vote on increasing the dividend by 20 % over the previous year to EUR 0.60 per share and the election of two new shareholder representatives to the supervisory board. The shareholders in attendance represented 72% of the equity.
In his speech to the approximate 300 shareholders, Chief Executive Officer Dr. Heinz-Jürgen Bertram looked back at the extraordinarily successful fiscal year 2010. Symrise benefited from the global economic recovery and a strong boost in demand, as well as the excellent positioning in emerging markets and the business with large customers. The Group has had a good start in the current financial year. The results for the first quarter confirm that the Group is well positioned to achieving its objectives for 2011.
An important item on the agenda was the election of the shareholder representatives to the supervisory board, as the term of all members expired at this year´s general meeting. Andreas Schmid, supervisory board chairman to date, as well as shareholder representative Sanna Suvanto-Harsaae had indicated prior to the meeting that they would not stand for reelection due to personal or professional reasons. The management and supervisory board thanked Mr. Schmid and Mrs. Suvanto-Harsaae for their dedicated work in past years.
Dr. Michael Becker, a personally liable partner and member of the management board of Merck KGaA, Darmstadt, and Prof. Dr. Andrea Pfeifer, chief executive officer of AC Immune S.A., Légier, Switzerland, were newly elected to the supervisory board. The previous shareholder representatives Horst-Otto Gerberding, Dr. Peter Grafoner, Dr. Hans-Heinrich Gürtler and Dr. Thomas Rabe were reconfirmed to their posts on the supervisory board. Dr. Rabe was elected supervisory board chairman at a constituent session of the supervisory board following the annual general meeting.
In selecting the new shareholder representatives the nomination committee placed special emphasis on comprehensive expertise in fields relevant to the company, a strong scientific background and extensive management experience.
Dr. Heinz-Jürgen Bertram said: "We are very glad to be able to welcome to our supervisory board two top-class and experienced managers, namely Professor Pfeifer and Dr. Becker. Both bring with them extensive sector expertise and management experience that will be very valuable to Symrise."
Dr. Michael Becker has been a member of the management board of Merck KGaA for over ten years. Among other things he heads the departments of accounting, controlling, finance, mergers & acquisitions, investor relations and purchasing.
Prof. Dr. Andrea Pfeifer is the founder and chief executive officer of AC Immune SA in Switzerland, a professor at the University of Lausanne, administrative board president of BioMedinvestor AG, Basel, Switzerland, and has extensive experience in the field of molecular and cell research. As a member of the supervisory board Prof. Dr. Pfeifer will, among other things, support Symrise in increasing its strategic focus on the field of consumer health.
