MPC Münchmeyer Petersen Capital AG has determined on February 12, 2008 to offer to the shareholders of HCI Capital AG to buy their registered shares without par value in HCI Capital AG in the course of a public tender offer in accordance with Section 29 et seqq German Takeover Code. As consideration for the shares of HCI Capital AG, MPC Münchmeyer Petersen Capital AG will offer the minimum consideration as required by mandatory law, which - based on the current information available to MPC Münchmeyer Petersen Capital AG - is expected to be in the region of EUR 14,22 per share of HCI Capital AG. The offer will not provide for a certain minimum acceptance as a condition to the offer. The other terms and conditions will be stipulated in the offer document ("Angebotsunterlage"). MPC Münchmeyer Petersen Capital AG has entered into an agreement with Corsair III Investments (Luxembourg) S.à.r.l providing for the acquisition of 4,806,730.00 shares in HCI Capital AG (corresponding to 20 % of the registered share capital of HCI Capital AG) against the granting of newly issued shares in MPC Münchmeyer Petersen Capital AG. The exchange rate for the shares of both companies will be determined on the basis of a stock price of EUR 44,20 for each share of MPC Münchmeyer Petersen Capital AG and in accordance with Section 5 German Takeover Code the weighted average stock price in the last three months of the shares in HCI Capital AG for each share of HCI Capital AG. The mutual obligations of the parties under the agreement are subject to various conditions, in particular the fulfillment of all conditions of the public offer. For the consummation of the agreement, the management board and the supervisory board of MPC Münchmeyer Capital AG will resolve an increase of the share capital out of authorized capital. Döhle ICL Beteiligungsgesellschaft mbH and Peter Döhle Schifffahrts-KG, which hold together approximately 10,69 % of the shares in HCI Capital AG, have explained to MPC Münchmeyer Petersen Capital AG that they want to maintain their shareholding in HCI Capital AG on a long term basis. Before this background, they have undertaken vis-à-vis MPC Münchmeyer Petersen Capital AG not to accept the public offer and not to sell or transfer their shares in HCI Capital AG currently held by them during the term of the public offer.
