Community Concepts AG (ComCon AG), a 100 percent subsidiary of Direkt Anlage Bank AG (DAB), with its financial community, investorworld will merge with G+J Business Channel GmbH, part of Gruner + Jahr (G+J) with its information and finance portal by the same name. The all-finance portal newly created in the process is to start operating under the name of BUSINESS CHANNEL, with independent editorial competences, powerful community services and a comprehensive range of financial products. The merger is subject to the approval of the respective supervisory boards.
The merged companies G+J Business Channel GmbH and Community Concepts (ComCon) AG will operate as Business Channel AG and be headquartered in Munich along with a further location in Cologne. At the same time. Business Channel Financial Media Service GmbH (formerly RKD GmbH) specialized in developing online applications, stock exchange games and price charts will be integrated in the organisation. Following the merger, Direkt Anlage Bank holds some 40 per cent of the shares in Business Channel AG, with Gruner + Jahr accounting for 60 per cent.
The management board members of the new Business Channel AG are: Dr. Philipp Busch (Chairman), 38, Christoph Röper (CFO), 39, as well as the past Board members of ComCon AG, Beate Kempf, 36, and Stefan Blanke, 31, and Ronald Kugler, 39, Managing Director of Business Channel Financial Media Service GmbH.
In order to guarantee independence in terms of editorial content in the BUSINESS CHANNEL, an editorial company is to be outsourced. G+J will hold a share of 49 per cent and Business Channel AG 51 per cent of this company. The editorial company will be engaged on behalf of the BUSINESS CHANNEL on the basis of a content supply agreement and will be the holder of the license agreements for the online use of Gruner + Jahr's BÖRSE ONLINE, CAPITAL, BIZZ and IMPULSE labels.
