Vienna, Frankfurt, 5 August 2008. In an ad hoc notification dated 31 July 2008, C-QUADRAT Investment AG (ISIN AT0000613005) stated that the RPR private foundation intended to increase its stake in C-QUADRAT Investment AG from a level of approximately 2% to approximately 16%, with the RPR private foundation joining the syndicate which previously controlled the company, made up of T.R. private foundation and San Gabriel private foundation. The increase in the stake of the RPR private foundation is to be implemented in roughly equal parts by the acquisition of shares by T.R. private foundation and San Gabriel private foundation.
As a result of the planned accession of the RPR private foundation, whose founder is Ronny Pecik, to the previously controlling syndicate of the private foundations of the two company founders (Alexander Schütz and Thomas Rieß), there is no change of control at C-QUADRAT Investment AG, because the contract stipulates that the decisive influence remains with the two company founders. On the basis of these facts, the Austrian Takeover Commission confirmed in a statement that the accession of the RPR private foundation in the syndicate does not result in a change in control, thus not triggering a mandatory offer in the sense of takeover legislation.
