Disclosure according to section 93 para 2 of the Austrian Stock Exchange Act
2 December 2009. Atrium European Real Estate Limited ("Atrium") with its
principal offices in Jersey hereby announces in accordance with section 93 para
2 of the Austrian Stock Exchange Act (Börsegesetz) that it has been notified
jointly (section 5 para 3 first sentence of the Austrian Transparency
Ordinence) by Gazit Globe Ltd and CPI CEE Management LLC pursuant to section 91
para 1 and 92 Austrian Stock Exchange Act that, following the indirect
acquisition of shares with voting rights, their indirect interest in shares
with voting rights of Atrium European Real Estate Limited has reached and
exceeded the thresholds of 35%, 40% and 45% as of 30 November 2009.On 30 November 2009, Gazit Midas Limited (an affiliate of Gazit-Globe Ltd) and CPI CEE Limited, CPI CEE Co-Invest 1 Limited, CPI CEE Co-Invest 2 Limited and CPI CEE Co-Invest 3 Limited (affiliate of CPI CEE Management LLC) acquired shares in Atrium. As a result of this acquisition, since 30 November 2009 Gazit-Globe Ltd and CPI CEE Management LLC jointly hold indirectly via Gazit Gaia Limited, Gazit Midas Limited, CPI/Gazit Holdings Limited, CPI CEE Limited, CPI CEE Co-Invest 1 Limited, CPI CEE Co-Invest 2 Limited and CPI CEE Co-Invest 3 Limited a total of 184,315,699 voting rights in Atrium (184,315,699 shares each carrying one vote) which represents 49.54% of the voting rights of Atrium.
In the course of the above transactions, the following entities have, on a standalone basis, reached and exceeded the following thresholds as of 30 November 2009: CPI CEE Limited has reached and exceeded the threshold of 5% and currently holds a total of 26,549,042 voting rights (7.14%). CPI CEE Co- Invest 3 Limited has reached and exceeded the threshold of 5% and currently holds 20,416,463 voting rights (5.49%). Gazit Midas Limited has reached and exceeded the thresholds of 20% and 25% and currently holds a total of 104,930,548 voting rights (28.20%).
