Asslar, November 17, 2010. Today, the Executive Board of Pfeiffer Vacuum Technology AG, Asslar, (ISIN: DE0006916604) has decided on, and the Supervisory Board has approved, a capital increase of nearly 10% out of the company's authorized capital against cash contributions. The company's share capital will be increased by the issue of up to 897,059 new no-par value bearer shares from 22,964,736.00 euro by up to 2,296,471.04 euro to up to 25,261,207.04 euro. The new shares are entitled to dividends as from January 1, 2010. The new shares are to be offered to institutional investors by way of an accelerated bookbuilding process. Shareholders' subscription rights are therefore excluded.
The placement price and the exact number of shares to be issued shall be fixed shortly after the accelerated bookbuilding process presumably on November 18, 2010. The new shares are expected to be admitted for trading without a prospectus on November 19, 2010 in the regulated market (regulierter Markt) (Prime Standard) on the Frankfurt Stock Exchange and to be included in the existing listing presumably on November 22, 2010.
The proceeds of the issue shall be used to partially refinance the intended acquisition of Alcatel-Lucent´s Vacuum Technology Unit ("Adixen") as announced on November 3, 2010.
Commerzbank Aktiengesellschaft accompanies the transaction as Sole Lead Manager and Sole Bookrunner.
