Teles AG intends to take a shareholding in Southrock Corp., Melbourne, Australia, a company specialised in WebLearning technology. This would give Teles unrestricted access to SouthrockGEM and all Southrock ASP technology, the world's probably most advanced - and more importantly: fully matured, because tested by well over 100,000 users - management/technology basis for large WebLearning projects. This WebLearning platform would be marketed exclusively by the Teles Group throughout Europe, i.e. used in its Internet Academy and also made available to other companies.
A separate press release will follow shortly regarding the Teles Internet Academy.
SouthrockGEM supports the Microsoft implementation of the open "Learning Resource Interchange (LRN)" standards for "Online Learning Content" drawn up by IMS. The IMS Global Learning Consortium is composed of over 250 systems companies, educational institutions and government agencies throughout the world. With this shareholding Teles would attain immediate access to international IMS working groups and Microsoft development teams on WebLearning.
The shareholding would be composed of two parts. Firstly, both companies would establish the Southrock Europe AG in Berlin, with Teles holding 60 percent of the shares. This company would have a share capital of DM 2 million - contributed by Teles - and all rights in SouthrockGEM and the related ASP technology - contributed in kind by Southrock Corp.. Secondly, Teles would buy 9 percent of the shares in Southrock Corp. for approximately DM 3 million, with an option on the purchase of a further 16 percent at a favourable price before the company's IPO.
